Terms of engagement

Article 1 — Scope

These Terms of Engagement apply to all services entrusted to Beaupère & Guermouche SELAS, registered with the Paris Bar, unless expressly agreed otherwise in writing.

Any engagement entrusted to the firm constitutes the client’s full and unconditional acceptance of these terms, unless the engagement letter provides otherwise.

Article 2 — Scope of the engagement

The firm’s services are defined by an engagement letter or quotation signed by the parties, specifying the nature, scope and objectives of the engagement.

Article 3 — Duration of the engagement

The engagement takes effect from the date stated in the engagement letter and may be terminated by either party, subject to reasonable notice and the conditions set out in the contractual document.

Article 4 — Fees

In accordance with applicable regulations, fees are subject to a written fee agreement specifying the billing arrangements.

Fees may be set by reference to time spent, on the basis of an agreed hourly rate; as a fixed fee, according to an amount determined in advance; and, where applicable, with an additional success fee. A closing fee may be applied in accordance with the fee agreement.

Article 5 — Costs and disbursements

Costs directly connected with the engagement (formal notices, travel, court formalities and so on) are payable by the client unless otherwise agreed.

Article 6 — Payment

Invoices are payable on receipt by bank transfer. In the event of late payment, late-payment penalties may be applied, calculated by reference to the statutory rate in force, without any further formal notice being required.

Article 7 — Duty to cooperate

The client undertakes to cooperate actively with the firm by providing all information, documents and materials required for the proper performance of the engagement.

If the client fails to do so, the firm reserves the right to suspend or terminate the engagement after written notice.

Article 8 — Confidentiality

The firm, as a lawyer registered with the Paris Bar, is bound by professional secrecy. All information exchanged in connection with the engagement is strictly confidential.

Article 9 — Liability

The firm’s liability is limited to the engagement entrusted to it. The firm is not liable for consequences resulting from inaccurate or incomplete information supplied by the client.

Article 10 — Intellectual property

Opinions, notes, correspondence and tools (including templates) prepared by the firm remain the firm’s intellectual property, unless the engagement letter provides otherwise.

Article 11 — Termination

The engagement may be terminated by either party by written notice with reasonable notice. Services performed remain payable, together with costs incurred.

Article 12 — Applicable law and jurisdiction

All services are governed by French law. If an amicable resolution cannot be reached, the dispute will be brought before the competent courts.
